Terms & Conditions

These Terms & Conditions apply to all quotations, proposals, agreements and services provided by Fountain Digital Studios ("the Company") to any client ("the Client"). By accepting a quotation, signing a proposal, or paying a deposit, the Client agrees to be bound by these Terms & Conditions.

1. Definitions

Company means Fountain Digital Studios.

Client means the individual, company or organisation purchasing services from the Company.

Project means all agreed production services including, but not limited to, pre-production, filming, cinematography, aerial filming (where applicable), editing, colour grading, motion graphics, sound design and final delivery.

2. Quotations

All quotations remain valid for 30 days unless otherwise stated.

Quotations are based upon the information supplied by the Client at the time of enquiry. Should the scope of work change after acceptance, the Company reserves the right to revise the quotation accordingly.

Unless expressly stated, quotations exclude:

  • Travel outside the agreed area
  • Accommodation
  • Venue hire
  • Actor or presenter fees
  • Props
  • Licensing fees
  • Third-party expenses
  • Special equipment hire
  • Permit costs

These will be itemised separately where applicable.

3. Booking Confirmation

A booking is not confirmed until:

  • The quotation has been accepted in writing;
  • These Terms & Conditions have been accepted; and
  • A 50% non-refundable deposit has been received.

The Company reserves the right to refuse or decline bookings until these requirements have been satisfied.

4. Payment Terms

A non-refundable deposit of 50% of the total quoted value is payable before any work commences.

The remaining balance is due immediately upon completion of the project and prior to the release of any final deliverables.

The Company reserves the right to withhold:

  • Final videos
  • High-resolution exports
  • Source files
  • Project files
  • Licences
  • Digital downloads

until full payment has cleared.

Payments shall be made via bank transfer unless otherwise agreed.

Late payments may incur statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, where applicable.

5. Scope of Work

The Company will only undertake work specifically described within the accepted quotation.

Any request outside the agreed scope shall be treated as additional work and charged at the Company's prevailing hourly or daily rates unless otherwise agreed in writing.

Examples include:

  • Additional filming days
  • Additional camera operators
  • Extra editing
  • Animation
  • Motion graphics
  • Voice-over recording
  • Script rewrites
  • Additional export formats
  • Social media versions

6. Production Schedule

Delivery dates are estimates only.

Whilst every effort will be made to meet agreed deadlines, the Company shall not be liable for delays resulting from:

  • Weather
  • Illness
  • Equipment failure
  • Client delays
  • Third-party suppliers
  • Force majeure
  • Delayed approvals
  • Restricted access to filming locations

Project timelines automatically extend where delays are caused by the Client.

7. Client Responsibilities

The Client agrees to:

  • Provide accurate project information.
  • Obtain permissions for filming locations where required.
  • Obtain permission from property owners.
  • Ensure contributors have authority to participate.
  • Obtain parental consent for anyone under 18.
  • Secure any permits required for filming.
  • Supply branding, logos and artwork in suitable formats.
  • Review edits promptly.
  • Nominate a single authorised decision maker where possible.

The Company accepts no responsibility for delays caused by missing information or approvals.

8. Filming Conditions

The Company reserves the right to stop filming where conditions become unsafe.

This includes:

  • Dangerous weather
  • Aggressive behaviour
  • Unsafe working environments
  • Illegal activity
  • Health and safety concerns

Where filming cannot safely continue, additional charges may apply for rescheduling.

9. Drone Operations

Where drone filming is provided:

All drone operations are subject to:

  • Weather conditions
  • Airspace restrictions
  • CAA regulations
  • Risk assessments
  • Site safety

The Company reserves the right to cancel drone operations where flights cannot legally or safely be undertaken.

No refund shall be due where drone footage cannot be obtained for reasons beyond the Company's control, although alternative filming solutions will be discussed where possible.

10. Editing & Revisions

Editing commences following filming unless otherwise agreed.

Unless specified within the quotation, projects include two rounds of reasonable revisions.

A revision is defined as minor alterations to the agreed edit.

Examples include:

  • Text changes
  • Timing adjustments
  • Music swaps
  • Colour tweaks

The following constitute additional chargeable work:

  • Complete re-edits
  • New creative direction
  • Significant restructuring
  • Additional interview selections
  • Replacement footage
  • New graphics

Additional editing is charged at the Company's standard hourly rate.

11. Music Licensing

The Company uses only legally licensed music from commercial licensing providers.

Music licences are obtained solely for the agreed production and intended usage.

The Client acknowledges that:

  • Music licences cannot generally be transferred to unrelated productions.
  • Removing music and using it elsewhere may breach copyright.
  • Additional licensing may be required if project usage changes.

The Company accepts no liability where the Client subsequently uses the production outside the agreed licensed usage.

12. Intellectual Property

All raw footage, project files, editing timelines, graphics, templates and production assets remain the exclusive property of Fountain Digital Studios unless expressly transferred in writing.

Ownership of the completed production transfers to the Client only upon receipt of full payment.

Unless otherwise agreed, the Company retains the right to use completed productions for:

  • Portfolio
  • Website
  • Social media
  • Awards
  • Marketing
  • Showreels

Where confidentiality has been agreed in writing, this clause shall not apply.

13. Storage of Media

The Company will retain project files and raw footage for approximately six months following project completion.

Whilst reasonable efforts are made to archive media securely, long-term storage is not guaranteed.

Clients requiring long-term archive storage should request this in writing.

14. Cancellations

If the Client cancels after booking:

  • The 50% deposit remains non-refundable.
  • Any work exceeding the deposit value shall be invoiced.
  • Non-refundable third-party costs remain payable.

If filming is cancelled within 48 hours of the agreed production date, the Company reserves the right to charge the full production day.

15. Client Delays

Projects placed on hold by the Client for more than 60 days may be subject to:

  • Re-booking fees
  • Updated pricing
  • New production schedules

16. Limitation of Liability

The Company shall exercise reasonable skill and care in providing its services.

To the fullest extent permitted by law, the Company's liability shall be limited to the total amount paid by the Client under the relevant agreement.

The Company shall not be liable for:

  • Loss of profits
  • Loss of business
  • Loss of goodwill
  • Consequential loss
  • Indirect damages

Nothing within these Terms limits liability for death or personal injury arising from negligence or any liability which cannot lawfully be excluded.

17. Force Majeure

The Company shall not be liable for failure or delay in performing its obligations where such failure results from circumstances beyond its reasonable control, including but not limited to:

  • Extreme weather
  • Fire
  • Flood
  • Pandemic
  • Government restrictions
  • Industrial disputes
  • Power failure
  • Internet outage
  • Equipment theft
  • Acts of terrorism

18. Confidentiality

Both parties agree to keep confidential any commercially sensitive information disclosed during the course of the Project unless disclosure is required by law or authorised in writing.

19. Data Protection

The Company processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

Client information will only be used for project administration, invoicing, communication and the delivery of agreed services unless otherwise required by law.

20. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
